Calendar Days vs. Business Days in a Real Estate Sales Contract

The Northern Virginia Regional Sales Contract for use in residential real estate purchases is a document that defaults to calendar days, unless otherwise specified, when addressing the number of days in a contingency, or to review resale documents from an HOA.  

What happens if a buyer, at their agent's recommendation, decides that they would like to specify x number of business days for their financing contingency?  If there is no definition accompanying the call out of business days, what would you assume it meant?  Monday through Friday?  Monday through Friday with the exception of pre-scheduled government holidays? Or actual business days that occurred during the transaction?  

If you worked a real estate contract with, let's say, 21 business days called out in the place for the buyer's financing contingency, when is that contingency officially over?  Especially if there has been government holidays like Columbus Day AND the Federal government closed for two days during Hurricane Sandy.  You can see where this gets sticky.  

Here's my advice:  If you feel the need to call out business days in your buyer's offer, as a Listing Agent, I am going to recommend my sellers define it as Monday through Friday, with no exceptions for holiday or government shut down days.  The waters simply get too muddy without a definition.  And here's another, simpler suggestion: If you need to account for business days, just ask for more time in calendar days.  After all, there is a reason the Northern Virginia Sales Contract uses calendar days as a default.  It's not a measure of time that you can question.

It would be much simpler to just increase the number of days rather than try to rewrite and/or revert to "business days"

I'm not a fan of asking for business days for this very reason.  I like just asking for ample calendar days as you suggested instead.

I had a rep from Bank of America define days to upload a HUD as 5 calendar days when they used to define it as business days. I think calendar days is so much easier for all parties concerned. We use calendar days in California, unless the contingency date falls on a holiday or a weekend, then we give them until Monday. I think the lawyers count it that way because they figure the court will -- if push came to shove.

It continues to amaze me that agents don't quite understand this.  Keep an eye on the calendar is critical when adhering to the terms of a contract.

Good Morning Chris Ann, that is a great point, i make it a point to go ver what each means and to explain which way the specific contract we are using means. Most confusion comes with bank contracts that state business while our state ps contains calender days. Have a great Monday

Susan:  Exactly.  God forbid there be an issue when someone has changed it to "business" days and not defined what a business day is.

Coral:  Exactly.  It's not hard to take the 15 business days needed and turn it into  21 calendar days, allowing for three weekends.

Elizabeth:  I've noticed more banks going to calendar days also when they used to insist on business days.

Jackie:  There is logic in calendar days.  Don't try to reinvent the wheel.

Kathryn:  Exactly.  Having a simple measure like calendar days is always best.

Scott:  That's right.  Banks do like business days in their REO addendums.
