The Batman Who Laughs is transported to the Marvel universe by Barbatos for them and the other Dark Knights to plan a potential takeover. This catches the attention of Otto Octavius, AKA the Superior Spider-Man, who demands to know what he's doing here in HIS universe. The Batman Who Laughs laughs, saying that it's none of his business, and he should get out of the way before he gets hurt, but Superior Spider-Man says he isn't going anywhere. The Batman Who Laughs grins further, saying that it's been a while since he maimed someone, and draws his knives, beginning the fight.
The fight takes place in downtown New York City at noon. The Batman Who Laughs is from DC New 52, and has access to his knives, guns, and set of cards, and his Robins. The Batman Who Laughs doesn't have any power ups or amps. Superior Spider-Man is from the main Marvel universe, Earth 616, and has access to his webbing, wall-crawling, and talons. Superior Spider-Man doesn't have access to his spider-army here. Speed is equalized.

Unless it's the version of TBWL that turns into a God/Demon thingy then it's Superior Spider-Man every time.
The Batman vs Spider-Man debate has been run into the ground a million million times, and the answer is always ultimately Spider-Man coming out on top unless you give Batman prep time and Spider-Man none, and even then it's not a clean 10/10 for bats.
The Batman Who Laughs is, depending on your perspective, a stronger version of the Joker or a weaker version of Batman. Superior Spider-Man is a smarter and more ruthless version of Spider-Man. So you're basically running back the Batman vs Spider-Man matchup but nerfing the loser and buffing the winner.
