About the Opportunity  

Reporting to the General Counsel and Chief Human Resources Officer (GC/CHRO), the Assistant General Counsel is a generalist role working closely with the GC/CHRO in the management of the Foundation’s day-to-day legal affairs.  This includes drafting and negotiating a variety of commercial and partnership agreements; providing legal advice on a range of matters, including employee related issues, privacy, governance, general risk mitigation and compliance; drafts, updates, and trains staff on policies and procedures; collaborates with individuals across the Foundation to identify and mitigate strategic, legal and reputational risks; and assists with the preparation and management of Board materials. 

​​The Legal Department furthers the Foundation’s mission by actively partnering with Foundation colleagues to foster strategic risk management, sound decision making and creative problem solving. Legal Team members work with Foundation colleagues to create Foundation wide policies, provide legal guidance, develop contracts, and research potential partners and donors.​

Core Responsibilities  

In this role you will work on: 

Transactional Matters:

  • Draft, negotiate, and/or review a variety of commercial and partnership agreements and grant agreements and advise on related-compliance issues; manage reporting requirements for outgoing grants and subgrants
  • Develop and update contract templates, enhance contracting procedures, and provide training on contract procedures, as necessary

Employment Matters:

  • Serve as a legal resource for HR on employee relations matters, benefits, compensation, wage and hour laws, status of independent contractors, and other employment regulations.
  • Provide legal advice on Diversity, Equity & Inclusion (“DEI”) initiatives to both HR and the DE&I Committee.
  • Under direction of GC/CHRO, develop and implement training on policies and procedures and maintain and update various employee handbooks applicable to staff in the U.S.

General Compliance and Risk Management:

  • Assist GC/HRO in identifying and managing legal, reputational and compliance risk to the Foundation, including through participation in its Enterprise Risk Management committee.
  • Collaborate with the GC/CHRO to develop, maintain and enhance policies and procedures and staff trainings to manage and mitigate risks appropriately; collaborate with staff across the Foundation to implement and administer policies and procedures.
  • Monitor relevant federal, state, and local laws, and proactively recommend action to GC/CHRO, as needed
  • Serve as a broad-based resource for staff for a diverse range of legal questions and collaborate with GC/CHRO and staff to find practical solutions.
  • Assist GC/CHRO with managing the Foundation’s trademark portfolio.

Governance:

  • Draft meeting minutes for Board and Committee meetings
  • Assist GC/CHRO with preparation of Board materials, including agenda and resolutions; track and monitor Board member terms
  • Supervise Conflicts of Interest disclosure process for Board members and key employees
  • Supervise charitable solicitation registration process

Minimum Qualifications  

What we’re looking for: 

  • Juris Doctorate; license to practice in any U.S. state required
  • Minimum 3 years of experience at a law firm or other organization, preference for experience in commercial transactions and/or employment law required
  • Experience with commercial contract review, advising on employee relations and/or benefits matters preferred
  • Legal Research Skills: ability to research and advise on broad range of legal issues
  • Exceptional work ethic and attention to detail.

 

Compensation & Benefits 

Our best estimate of the compensation range for this opportunity is $130 - 140K annually, depending on the experience you bring. This role is not eligible for overtime pay. This range is based on NYC market rates and may be adjusted if you will be working remotely.  We look forward to discussing our compensation pricing strategy, and your expectations, throughout the interview process.
