Paramount (PARA, PARAA) has reportedly agreed to the terms of a deal to merge with Skydance Media. MoffettNathanson Senior Research Analyst Robert Fishman joins Catalysts to break down how investors should digest the move. The media giant announced several new measures at its annual meeting, from job cuts to streaming opportunities, which Fishman explains comes at "an awkward time" amid the Skydance deal uncertainty. The company's controlling shareholder, Shari Redstone, ultimately has the final say on the deal, Fishman explains: "It's possible that there's a deal in place already, so it should be known within the next few days — I think is what the reporting suggests — whether Shari wants to go forward or not. But this alternative scenario with the office of the CEO and the updated plan that was laid out today would probably be the marching orders if Shari decides not to go forward with Skydance for whatever reason." He notes that regardless of a deal, Paramount should remain focused on cost-cutting measures "given the pressures of the revenue and cord cutting, and even more so, advertising recently as secular challenges for the entire TV ecosystem continue to emerge and get worse." He reiterates that the annual meeting has laid out the company's plans if the deal falls through. However, he sees the deal crossing the finish line as a "more likely" outcome. Paramount-Skydance talks take turn as rival bidders press their case

(Reuters) -Paramount Global Chair Shari Redstone is unhappy with Skydance Media's reduced offer for the family's controlling stake in the company, opening the door for rival bidders to make their case, two sources familiar with the matter told Reuters on Wednesday. Over a months' long pursuit of a deal with Paramount, Skydance CEO David Ellison reduced his initial $2.5 billion offer for National Amusements, which holds the Redstone family's Paramount stake, to provide additional cash for the company's nonvoting shareholders, according to one source familiar with the process. In a later offer submitted last week, Ellison created more cash for shareholders by reducing Skydance's valuation of the merger to $4.75 billion from $5 billion, according to that source.

(Reuters) -Skydance Media on Monday was awaiting a response to its enhanced bid for entertainment conglomerate Paramount Global, in which it offered to buy nearly half of the nonvoting Paramount shares at $15 each, according to a source familiar with the matter. The new proposal follows months of negotiations between Santa Monica, California-based independent studio Skydance and Paramount, which, like other media companies, has been hit by the decline of the traditional television industry. "We received the financial terms of the proposed Paramount/Skydance transaction over the weekend and we are reviewing them," said a spokesperson for movie theater owner National Amusements, which holds 77% of Paramount's class A voting stock.
