Stipulation and Order of Dismissal

STIPULATED SETTLEMENT AND ORDER OF DISMISSAL: IT IS HEREBY STIPULATED AND AGREED by and between the parties and/or their respective counsel as follows: Defendants shall pay and ASCAP, on behalf of Plaintiffs, shall accept $24,000.00 (the "Settlement Amount") in full settlement of the Action. Defendants shall pay the Settlement Amount in three equal installments of $8,000.00 (each an "Installment Payment") on or before the following dates: (i) June 25, 2018; (ii) July 25, 2018; and (iii) August 25, 2018. The Installment Payments shall be made by certified cashier's or bank check made payable to "ASCAP". Within five business days after this stipulated settlement is "So Ordered" by theCourt, ASCAP shall offer and Defendants shall execute an ASCAP license for the DL Lounge, effective as of January 1, 2018. ASCAP license fees for the DL Lounge for calendar year 2018 are included in the Settlement Amount. The Court shall retain jurisdiction over this matter for the limited purposes of enforcing the terms of this stipulated settlement. See Kokkonen v. Guardian Life Ins. Co. of America, 511 U.S. 375 (1994). Subject to the foregoing, this action shall be dismissed pursuant to Fed. R. Civ. P. 41(a)(1)(A)(ii), with all parties to bear their own costs and fees.
